1. Agreement to Terms
Welcome to MaidProfit. These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User," "you," or "your") and MaidProfit ("MaidProfit," "we," "us," or "our"). These Terms govern your access to and use of the MaidProfit website (maidprofit.com), software-as-a-service platform, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.
2. Description of Service
MaidProfit is a cloud-based software platform designed for cleaning businesses. The Service may include:
- Scheduling — job booking, calendar management, and team assignment tools
- Invoicing — invoice creation, delivery, payment tracking, and financial reporting
- Client management — contact storage, job history, notes, and communication tools
- Team management — staff assignment, time tracking, and team coordination
- Business analytics — reports, dashboards, and performance metrics
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify you of material changes that adversely affect your use of the Service.
3. User Accounts
You must create an account to access the Service. When creating your account, you agree to provide accurate, current, and complete information and to update this information as needed.
You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@maidprofit.com if you suspect any unauthorized access to or use of your account. You are responsible for all activity that occurs under your account, whether or not authorized by you.
You must be at least 18 years of age to create an account. By creating an account, you represent and warrant that you meet this age requirement.
We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, subject to the notice provisions in Section 12.
4. Acceptable Use
You agree to use the Service only for its intended purpose — managing and operating a cleaning business or related service business. You agree not to:
- Violate any applicable local, state, national, or international law or regulation
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Transmit spam, phishing attempts, malware, or any harmful or deceptive content
- Share your account credentials with individuals outside your organization
- Use automated scripts, bots, scrapers, or other unauthorized means to access the Service
- Upload files containing viruses, Trojan horses, worms, or other harmful code
- Impersonate any person or entity or misrepresent your affiliation
- Attempt to gain unauthorized access to any portion of the Service or its related systems
- Use the Service to store or transmit content that infringes the intellectual property rights of any third party
- Interfere with or disrupt the integrity or performance of the Service
Violation of these rules may result in immediate suspension or termination of your account, without prior notice. We reserve the right to report serious violations to appropriate law enforcement authorities.
5. Payment Terms
5.1 Subscriptions and Billing
The Service is offered on a subscription basis. By selecting a paid plan, you authorize us to charge the payment method on file at the beginning of each billing cycle (monthly or annually, as selected). Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
You are responsible for keeping your payment information current. If a payment fails, we may suspend your access to paid features until the payment issue is resolved. We may retry failed payments using reasonable commercial practices.
5.2 Pricing Changes
We reserve the right to change our pricing at any time. We will provide at least 30 days' written notice (via email or in-app notification) before any price increase takes effect. If you do not agree with the new pricing, you may cancel your subscription before the new price takes effect.
5.3 Refunds
New users may request a full refund within 14 days of their first paid subscription payment. After this 14-day period, all fees are non-refundable. When you cancel, your account remains active through the end of your current billing period. No partial refunds or credits will be issued for unused portions of a billing period.
5.4 Free Trials
We may offer free trial periods at our discretion. At the end of a free trial, you must select a paid plan to continue using the Service. We will not charge your payment method without your affirmative consent.
5.5 Taxes
All fees are exclusive of applicable taxes (including sales tax, VAT, and GST) unless stated otherwise. You are responsible for paying all taxes associated with your use of the Service, except for taxes based on MaidProfit's net income.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including all software, code, design, graphics, text, logos, trademarks, and other content ("MaidProfit IP") is owned by MaidProfit and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes in accordance with these Terms.
6.2 Restrictions
You may not copy, modify, distribute, sell, sublicense, or create derivative works of any part of the Service or MaidProfit IP without our prior written consent. The MaidProfit name, logo, and all related marks are our trademarks and may not be used without written permission.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant MaidProfit an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate that Feedback into the Service without any obligation or compensation to you.
7. Your Data and Content
7.1 Ownership
You retain all ownership rights to the data, content, and information you enter into the Service ("Customer Data"). MaidProfit does not claim ownership of your Customer Data.
7.2 License to Us
You grant MaidProfit a limited, non-exclusive license to access, use, store, and process your Customer Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when your Customer Data is deleted from our systems.
7.3 Data Protection
We do not sell your Customer Data to third parties. We handle your data in accordance with our Privacy Policy. While we implement reasonable security measures to protect your data, you acknowledge that no system is 100% secure and we cannot guarantee against unauthorized access, loss, or breach.
7.4 Data Export and Portability
You may export your Customer Data at any time during your active subscription. Upon account termination, you will have 30 days to export your data. After this 30-day period, we will permanently delete your Customer Data from our active systems. Backups may be retained for up to 90 additional days before complete deletion.
7.5 Your Responsibility
You are solely responsible for the accuracy, quality, legality, and appropriateness of all Customer Data you enter into the Service. You represent that you have all necessary rights and permissions to upload and process such data, including any personal data of your clients or employees.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. To the fullest extent permitted by applicable law, MaidProfit expressly disclaims all warranties, including but not limited to:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE
- WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE
You acknowledge that you use the Service at your own risk. MaidProfit does not warrant that the Service will meet your specific requirements or expectations.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAIDPROFIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
- COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- DAMAGES RESULTING FROM INTERRUPTION OF SERVICE, DOWNTIME, OR SYSTEM FAILURES
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT MAIDPROFIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MAIDPROFIT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO MAIDPROFIT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless MaidProfit, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your Customer Data or any content you submit through the Service
- Your infringement of any third party's intellectual property or other rights
- Any dispute between you and your clients, employees, or other third parties
MaidProfit reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.
11. Dispute Resolution and Arbitration
11.1 Informal Resolution
Before initiating any formal dispute proceeding, you agree to first contact us at legal@maidprofit.com and attempt to resolve the dispute informally for at least 30 days.
11.2 Binding Arbitration
If we cannot resolve the dispute informally, you and MaidProfit agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in the English language by a single arbitrator in the State of Delaware, United States, or at a location mutually agreed upon.
The arbitrator shall have the authority to award any relief that a court of competent jurisdiction could award, including injunctive relief. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
11.3 Class Action Waiver
YOU AND MAIDPROFIT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and MaidProfit agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, consolidated, or representative proceeding.
11.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Claims for amounts less than $10,000 may be brought in small claims court at the claimant's option.
12. Termination
12.1 Termination by You
You may cancel your account at any time through your account settings or by contacting us at support@maidprofit.com. Upon cancellation, your account will remain active until the end of your current billing period. No refunds will be issued for the remaining portion of the billing period.
12.2 Termination by Us
We may suspend or terminate your account immediately and without prior notice if we reasonably determine that you have materially violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users. For non-material breaches, we will provide 15 days' written notice and an opportunity to cure the breach before termination.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately (or at the end of your billing period for voluntary cancellations). You will have 30 days from the effective termination date to export your Customer Data. After this period, your data will be permanently deleted in accordance with our Privacy Policy.
12.4 Survival
The following sections survive termination of these Terms: Sections 6 (Intellectual Property), 7.2 (License to Us, for processing data during the deletion period), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution and Arbitration), 14 (Governing Law), and 15 (General Provisions).
13. Force Majeure
MaidProfit shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, power outages, internet service provider failures, cyberattacks, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials. Our performance obligations will be suspended for the duration of the force majeure event.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that arbitration is not applicable under Section 11, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for the resolution of any disputes.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MaidProfit regarding the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
15.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
15.3 Waiver
The failure of MaidProfit to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of MaidProfit to be effective.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without MaidProfit's prior written consent. MaidProfit may assign these Terms without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties' successors and permitted assigns.
15.5 Notices
We may provide notices to you via email (to the address associated with your account), in-app notification, or by posting on our website. You are responsible for keeping your contact information current. Notices sent by email are deemed received on the date the email is sent.
15.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Nothing in these Terms is intended to confer upon any person or entity other than the parties any rights or remedies.
15.7 Export Compliance
You agree to comply with all applicable export control laws and regulations. You represent that you are not located in, or a citizen or resident of, any country subject to U.S. trade sanctions.
16. DMCA and Copyright Complaints
MaidProfit respects the intellectual property rights of others. If you believe that your copyrighted material has been used on our Service in a way that constitutes copyright infringement, you may notify us in writing at legal@maidprofit.com with the following information:
- A description of the copyrighted work you claim has been infringed
- The URL or specific location where the infringing material is found
- Your contact information (name, address, phone, email)
- A statement that you have a good-faith belief the use is not authorized by the copyright owner
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
- Your physical or electronic signature
17. Changes to These Terms
We may revise these Terms from time to time. When we make changes:
- We will update the "Last Updated" date at the top of this page
- For material changes, we will provide at least 30 days' advance notice via email or prominent in-app notification
- Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes
If you do not agree with the revised Terms, you must discontinue use of the Service and may cancel your account. The most current version of these Terms will always be available on this page.
